The Paralegal/Executive Assistant reports to the General Counsel and independently drafts and files legal and regulatory documents, manages the corporate contract database, and provides administrative support to the Legal, Resource, and Regulatory Departments.  Areas of legal practice include litigation, regulatory reporting and tariffing, and contract administration matters.  Position requires drafting of correspondence and memos, tracking and processing of legal and regulatory filings, maintenance of HR Compliance calendar and administration of the Ironclad contract database.
The position also completes responsibilities and administrative tasks for the General Counsel and President/CEO in a confidential manner. The Executive Assistant may also be responsible for the coordination of management, employee and training events. This position also provides occasional support for other executives upon request.
 
Essential Job Functions:
 
Legal support 
  •  Draft correspondence filings to state and federal regulatory commissions.
  • Conduct legal research.
  • Respond to all subpoenas issued to the company.
  • Review all customer and vendor bankruptcy notices and provide necessary follow up; assist the Billing Department with filing Proofs of Claims for vendors and carriers in bankruptcy.
  • Approve any tax exemption forms submitted by customers.  Point of contact for any questions related to exemption of state/local and federal excise taxes.
  • Process Secretary of State annual reports
  • Maintain master lists of real property, intellectual property, and regulatory licenses.
  • File easements with appropriate agency
  • Keep legal and regulatory sections of company website updated.
Contract Administration 
  • Implement and maintain Ironclad electronic document storage and organization program/database; train new users of system.
  • Keep track of all contract expiration dates and ensure appropriate manager renews or terminates the agreement appropriately; assist with drafting termination notices.
  • Ensure that all customer signature forms are kept updated.
  • Draft requested revisions to contract forms for approval by General Counsel.
  • Draft requested revisions to wholesale agreements for approval by General Counsel, including drafting amendments and addendums.
  • Ensure that all contracts are executed properly, rejecting any that are not and informing employee of what needs to be completed for the contract to be approved.
  • Ensure that final, signed copies of all contracts and other documents reviewed by legal are properly executed and received in a timely fashion.
  • SAM federal contract administration
 
Administrative Support
  • Assist all lawyers and President/CEO with administrative tasks.
  • Arranges corporate travel and meetings by developing itineraries and agendas; booking transportation; arranging lodging and meeting accommodations.
  • Maintain existing hard copy employee files.
  • Provider clerical support to the HR Department, including updating HR forms.
  • Assists with planning and execution of special events such as benefits enrollment, organization-wide meetings, employee recognition events, holiday parties, and retirement celebrations.


Requirements

Knowledge, Skills, and Abilities:                                                             
  • Familiarity with legal and administrative proceedings.
  • High level of maturity and trustworthiness; must consistently maintain a very high degree of confidentiality and integrity.
  • Strong written communication skills including exceptional grammar, proofreading skills and attention to detail.
  • Ability to effectively balance priorities, handle multiple tasks, problem solve, set goals, adapt to change easily, and consistently deliver timely and accurate products and services.
  • Familiarity with legal documents and organization of legal files.
  • Excellent organizational skills.
  • Proficiency in Word, Excel, Outlook and use of database programs, including Ironclad.
  • Ability to work both independently and as part of a team.
  • Ability to communicate clearly in oral and written communications.
  • Ability to communicate with co-workers and regulatory and legal bodies in a professional and courteous manner.
  • Ability to organize and prioritize multiple work assignments and manage projects effectively.
  • Develop and maintain an overall knowledge of corporate policies and procedures.
 
 
Education and Experience:   
  • Four-year college degree in paralegal studies or related field and/or four-year degree with significant paralegal or executive assistant experience.
  • 5+ years' experience in an administrative role; prior experience supporting management/leadership in a professional or large corporate environment preferred.
